Terms of Service

1. The agreement

These terms (“Terms”) form a binding agreement between SBPM LLC (“Bella,” “we,” “us”) and the entity or person who signs up for Bella (“you,” “Customer”). By creating an account or using the service, you accept these Terms. If you don’t accept them, don’t use the service.

If you are signing up on behalf of a business, you represent that you have authority to bind that business.

2. Your account

You’re responsible for keeping your login credentials secure and for everything that happens under your account. Tell us immediately at [email protected] if you believe your credentials have been compromised.

Each plan has a designated owner. The owner can invite team members, assign roles, and remove access. Bella honors the owner’s instructions for account management.

3. Subscription, billing & cancellation

Plans

Bella is sold on monthly or annual subscription tiers. Annual billing receives the equivalent of two free months versus paying monthly. Tiers, prices, and inclusions are listed at bella.salon/#pricing.

Free trial

New accounts include a 14-day free trial. No credit card is required to start the trial. If you don’t add a payment method by day 15, your account is paused; your data is retained for 30 days for restoration.

Billing

Subscriptions auto-renew at the end of each billing period. Charges are made by Stripe to the payment method on file. SMS and voice usage above your plan’s included allowance is billed in arrears at the published overage rate for your tier.

Cancellation

You can cancel anytime from your dashboard. Cancellation takes effect at the end of your current billing period — no further charges, no early-termination fee. You retain access until the period ends. Annual plans are not pro-rated for early cancellation, but you keep the service through the end of the year you paid for.

Refunds

We don’t offer refunds for partial months. If something goes seriously wrong on our end, contact support — we’ll make it right.

4. Acceptable use

You agree not to use Bella to:

  • Send SMS or voice messages to recipients who haven’t given consent under TCPA, CASL, or applicable law
  • Send messages that are deceptive, fraudulent, threatening, or harassing
  • Operate businesses prohibited by our payment processors (e.g., illegal services, regulated industries we don’t support)
  • Interfere with the service, scrape data, or attempt to bypass rate limits
  • Reverse engineer, decompile, or attempt to extract our source code beyond what U.S. law allows
  • Resell the service to third parties without a written reseller agreement

We may suspend an account that violates these rules, and we will notify you when we do, except where the violation is severe enough that immediate suspension is required.

5. Your data

Your data is yours. We process it on your instructions to deliver the service. Details are in our Privacy Policy. On termination, you can export everything for 30 days; after that, we delete it.

6. Service availability

We aim for 99.9% uptime on the core platform. Status updates: /status. We give 30 days’ notice for planned maintenance that affects availability. We don’t guarantee perfect availability and we’re not liable for downtime caused by sub-processors (e.g., Stripe outage, Twilio outage), but we’ll always tell you what happened and what we’re doing about it.

Enterprise tier includes a contractual SLA with service credits.

7. Warranties & liability

Bella is provided “as is” and “as available.” We make no implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Our total liability under these Terms is limited to the amount you paid Bella in the twelve months preceding the event giving rise to the claim. Neither party is liable for indirect, incidental, consequential, or special damages, even if advised of their possibility. Some jurisdictions don’t allow these limitations — in which case they apply to the maximum extent permitted by law.

8. Changes

We may update these Terms. If a change is material (e.g., new restriction on use, change to billing terms), we’ll email account owners at least 30 days before it takes effect, and you can cancel without penalty during that window. Non-material changes (typo fixes, clarifications) take effect immediately upon posting.

9. Governing law

These Terms are governed by the laws of the State of Louisiana, without regard to conflict-of-laws principles. Disputes are resolved in the state and federal courts located in St. Tammany Parish, Louisiana, and both parties consent to jurisdiction there.
